Terms of Service

Overview

These Terms of Service ("Terms") govern the relationship between VibeLight Media, LLC ("we," "us," or "our") and you ("client," "you," or "your") when you engage us for web design, development, maintenance, or related services. By hiring us, you agree to these Terms.

Services

VibeLight Media provides custom website design, development, redesign, e-commerce builds, website maintenance, SEO optimization, and related digital services for local businesses. The specific scope, deliverables, and timeline for your project will be outlined in a separate project agreement or proposal.

Payment Terms

Payment amounts, schedule, and method will be specified in your project agreement. General terms include:

• Payment is due per the schedule outlined in your agreement
• Payment plans are available (e.g., 5 monthly installments for website builds)
• Maintenance plan fees are billed monthly in advance
• Late payments may result in service suspension after 15 days notice
• All prices are in US dollars

Intellectual Property

Upon full payment, you own the final website, including:

• Custom HTML, CSS, and JavaScript code written for your project
• Custom design layouts and graphics created specifically for you
• All content you provided or that was written for your site
• Your domain name and any accounts created on your behalf

We retain the right to:

• Display your project in our portfolio (with your permission)
• Reuse general coding techniques, methods, and non-proprietary components
• Include a small credit link in the website footer (removable upon request)

Third-party assets (fonts, stock images, open-source libraries) remain subject to their respective licenses.

Client Responsibilities

To keep projects on track, we ask that you:

• Provide content, images, and feedback in a timely manner
• Respond to review requests within 5 business days
• Ensure that all content you provide is accurate and you have the rights to use it
• Designate a single point of contact for project decisions

Delays in providing materials or feedback may extend the project timeline.

Revisions

Website builds include one round of revisions after the initial design is presented. Additional revisions or scope changes beyond the original agreement may incur additional fees, which will be discussed and agreed upon before work begins.

Maintenance and Hosting

Ongoing hosting and maintenance require an active care plan. If you cancel your care plan:

• We will provide your site files and assist with transitioning to another host
• Your domain remains yours and can be transferred at any time
• We are not responsible for site performance, security, or uptime after transition

Limitation of Liability

VibeLight Media provides web design and development services to the best of our ability. However:

• We are not liable for lost revenue, lost data, or indirect damages resulting from website downtime, errors, or delays
• Our total liability shall not exceed the amount paid for the specific service in question
• We do not guarantee specific search engine rankings, traffic volumes, or conversion rates
• We are not responsible for third-party service outages (hosting providers, payment processors, etc.)

Termination

Either party may terminate a project with written notice. If you terminate:

• Payment is due for all work completed up to the termination date
• You receive all deliverables completed to that point
• Deposits are non-refundable

We reserve the right to terminate a project if payment is more than 30 days overdue or if the working relationship becomes untenable.

Governing Law

These Terms are governed by the laws of the State of Illinois. Any disputes arising from these Terms or our services will be resolved in the courts of Vermilion County, Illinois.

Changes to These Terms

We may update these Terms from time to time. Changes will be posted on this page with an updated effective date. Existing project agreements are not retroactively affected by changes to these Terms.
